This course will examine historic mistakes in group structuring, and provide participants with an overview of the law in relation to the remedies available under Companies Act 2014 to a liquidator, creditor or receiver, to capture assets in related group companies, where another member of the group becomes insolvent. The CPD will focus on the wide legal definition of “ related companies “, the use of “Golden Shares “, and the implications of “ Contribution Orders” and “ Pooling Orders “ under Companies Act 2014.

 

This course will also suggest areas where reorganising group structures may dilute the impact of the sanctions in the Companies Act 2014 in order to protect group assets.

 

Gearoid Costelloe

Gearoid Costelloe is a fellow of the Association of Chartered Certified Accountants, practising for many years as an accountant. He was called to the Irish Bar in 2010 and is now practising full time as a barrister specialising in commercial, contract, banking and company law matters. He was previously a Corporate Finance and Advisory partner in Grant Thornton and has acted in many high profile debt restructuring, insolvency and receivership cases. He is a member of CEDR and an experienced mediator and has acted previously in mediating several large commercial and family disputes.
